1. Acceptance of Terms

By accessing or using the LEADR platform ("Service"), operated by LEADR ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including administrators, agents, viewers, and client portal users.

2. Description of Service

LEADR is an AI-powered web design studio that builds custom websites and AI automation systems (voice agents, missed-call recovery, review automation) for local service businesses. The Service includes:

  • Lead generation, tracking, and pipeline management
  • Meeting scheduling with video conferencing integration
  • In-browser phone calling and SMS messaging via Twilio
  • Client portal with project tracking, invoicing, and payments
  • Team analytics, task management, and audit logging
  • Payment processing via Stripe

3. Account Registration

  • You must provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorized use of your account.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 18 years of age to create an account.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation
  • Send unsolicited bulk messages (spam) via phone, SMS, or email
  • Harass, threaten, or abuse any individual or business
  • Transmit malicious code, viruses, or other harmful content
  • Attempt to gain unauthorized access to other users' accounts or data
  • Use automated systems to scrape, mine, or extract data beyond intended functionality
  • Misrepresent your identity or affiliation with any person or organization
  • Interfere with or disrupt the Service or servers connected to the Service

5. Communications & Telephony

The Service includes in-browser phone calling and SMS messaging capabilities powered by Twilio. By using these features, you agree to the following:

5.1 Compliance with Laws

  • You will comply with all applicable telecommunications laws and regulations, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and any state or local regulations governing phone calls and text messages.
  • You will not use the calling or messaging features to contact individuals who have not provided consent or who have opted out of communications.
  • You will honor all opt-out and do-not-call requests promptly and maintain appropriate records of consent.

5.2 Call Recording & Monitoring

  • Call metadata (duration, time, status, phone number) is logged for analytics and quality assurance purposes.
  • If call recording is enabled, you are responsible for complying with all applicable consent laws, including two-party consent requirements where applicable.

5.3 SMS Messaging

  • SMS messages sent through the Service are transmitted via Twilio and are subject to Twilio's Acceptable Use Policy and Terms of Service.
  • All SMS communications must include opt-out instructions (e.g., "Reply STOP to unsubscribe").
  • You will not send messages that are deceptive, misleading, or contain prohibited content as defined by carrier guidelines and applicable law.

5.4 Telephony Costs

Phone calls and SMS messages incur usage-based charges through Twilio. These costs are the responsibility of the account holder. Current rates are available on the Twilio pricing page.

6. Payment Terms

  • Payments for services are processed through Stripe. By making a payment, you agree to Stripe's Terms of Service.
  • All fees are non-refundable unless otherwise stated in writing.
  • Setup fees are due upon commencement of services. Monthly retainer fees are billed on a recurring basis for the duration of the contract.
  • Failure to pay may result in suspension or termination of services.

7. Intellectual Property

  • The Service, including its design, code, features, and branding, is owned by LEADR and protected by intellectual property laws.
  • You retain ownership of all data you input into the Service (leads, notes, files, etc.).
  • You grant us a limited license to use your data solely for the purpose of providing and improving the Service.
  • Work product (websites, designs, etc.) created for clients is governed by the separate service agreement between you and the agency.

8. Third-Party Services

The Service integrates with the following third-party providers:

  • Twilio — for voice calling and SMS messaging ( Twilio Terms)
  • Stripe — for payment processing ( Stripe Terms)
  • Zoom — for video conferencing ( Zoom Terms)
  • Supabase — for database and authentication infrastructure
  • Google Maps Platform — for lead discovery and business data
  • Resend — for transactional email delivery

Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services.

9. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to the practices described in the Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee the accuracy or completeness of any lead data, analytics, or third-party information provided through the Service.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Termination

  • We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.
  • You may terminate your account at any time by contacting us.
  • Upon termination, your right to use the Service ceases immediately. We may retain your data as required by law or legitimate business purposes.
  • Sections regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

13. Indemnification

You agree to indemnify, defend, and hold harmless LEADR and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including but not limited to violations of telecommunications laws through use of the calling and messaging features.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State in which LEADR operates, without regard to conflict of law principles.

15. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Service after changes constitutes acceptance of the updated Terms.
